1. INTRODUCTION

Welcome to KindlyRSVP.

KindlyRSVP is a digital invitation and event portal service operated by Kahoonah Pty Ltd, an Australian business (“KindlyRSVP”, “we”, “our”, or “us”).

These Terms & Conditions govern your access to and use of our website, digital invitation services, hosted event portals, RSVP systems, gift registry integrations, budgeting tools, guest management services, and related products and services (collectively, the “Services”).

By accessing our website, placing an order, using our Services, submitting information, or interacting with a KindlyRSVP invitation or portal, you agree to be bound by these Terms & Conditions.

If you do not agree with these Terms, you must not use our Services.

2. ELIGIBILITY

You must be at least 18 years old to purchase Services or create an event portal through KindlyRSVP.

By using our Services, you confirm that:

- you are legally capable of entering into a binding agreement;

- all information you provide is accurate and complete; and

- you have authority to submit any content, media, or personal information uploaded to the platform.

3. SERVICES PROVIDED

KindlyRSVP provides digital event-related services including but not limited to:

- Digital invitations;

- Hosted invitation portals;

- RSVP management;

- Guest list management;

- Save the Date invitations;

- Gift registry integrations;

- Stripe-connected registry functionality;

- Budget tracking tools;

- Cash flow management tools;

- Guest analytics;

- Dietary requirement collection;

- Template invitation designs;

- Bespoke/custom invitation designs;

- Invitation hosting and delivery tools;

- Media embedding and event content presentation.

Services may evolve, change, or be modified at any time without notice.

4. HOSTED PLATFORM SERVICES

All invitations and portals created through KindlyRSVP are hosted within KindlyRSVP’s infrastructure and systems.

Clients are purchasing access to a hosted digital experience and limited-use license, not ownership of the platform, software, codebase, or invitation framework.

KindlyRSVP retains full control over:

- hosting infrastructure;

- portal functionality;

- software architecture;

- invitation systems;

- animation frameworks;

- user interface systems;

- platform technologies.

5. ORDERS & PAYMENTS

5.1 Payment Processing

All payments are processed securely through third-party payment providers, including Stripe.

KindlyRSVP does not store or access customer payment passwords or banking credentials.

For gift registry functionality, KindlyRSVP only facilitates connection between the client’s Stripe account and the KindlyRSVP portal experience. Funds are transferred directly between Stripe and the client.

KindlyRSVP is not:

- a bank;

- financial institution;

- escrow provider;

- investment provider; or

- payment processor.

5.2 Pricing

All pricing is displayed in Australian Dollars (AUD) unless otherwise stated.

GST applies to transactions where required under Australian law.

5.3 Final Payments

All purchases are final.

By submitting an order, the client acknowledges that:

- work may commence immediately;

- digital production resources are allocated upon purchase;

- creative and technical services begin following order confirmation.

No cancellations are permitted once an order has been submitted.

5.4 Chargebacks

Clients agree not to initiate unjustified or fraudulent chargebacks after:

- work has commenced;

- revisions have been delivered;

- invitations have been produced; or

- portal access has been provided.

KindlyRSVP reserves the right to:

- suspend Services;

- terminate hosted invitations;

- recover unpaid balances;

- dispute chargebacks;

- seek legal recovery where necessary.

6. REFUND POLICY

6.1 No Refunds

Due to the customised and digital nature of our Services:

- all sales are final;

- no refunds are provided after order submission;

- no refunds are provided for change of mind;

- no refunds are provided after work has commenced.

6.2 Additional Revisions

Clients may purchase additional revision rounds where applicable. Additional fees may apply.

6.3 Expedited & Priority Orders

Expedited and priority delivery fees are non-refundable.

Current expedited services include:

- Expedited Delivery: within 5 business days;

- Priority Delivery: within 72 hours.

Delivery timeframes commence only once all required client materials have been received.

7. DELIVERY & REVISION POLICY

7.1 Standard Delivery

KindlyRSVP aims to deliver invitations within 14 business days from:

- completed order submission; and

- receipt of all required client content and media where applicable.

7.2 Client Delays

Any delay caused by incomplete submissions, missing media, late feedback, or incomplete information may extend delivery timelines.

Each business day delayed by the client may extend KindlyRSVP delivery timelines accordingly.

7.3 Revision Rounds

Revision allowances depend on the purchased package:

- Classic Package: 1 revision round;

- Signature Package: 2 revision rounds;

- Bespoke Package: unlimited reasonable revisions.

A revision includes any requested modification, update, edit, adjustment, or change submitted by the client.

Clients are encouraged to consolidate feedback into a single revision request where possible.

7.4 Typographical Errors

KindlyRSVP may correct typographical errors without counting toward revision limits where reasonably appropriate.

7.5 Final Approval

Once final approval is provided:

- responsibility for content accuracy transfers to the client;

- the client accepts responsibility for:

  - names;

  - spelling;

  - dates;

  - times;

  - addresses;

  - RSVP details;

  - venue information;

  - guest details.

8. CLIENT CONTENT & MEDIA

Clients confirm that they:

- own or have permission to use all uploaded content;

- have rights to all submitted photographs, videos, logos, music, and artwork;

- will not upload infringing, unlawful, offensive, or unauthorised material.

KindlyRSVP is not responsible for copyright disputes arising from client-submitted content.

9. INTELLECTUAL PROPERTY & LICENSING

9.1 Ownership

All KindlyRSVP intellectual property remains the exclusive property of KindlyRSVP and/or Kahoonah, including:

- invitation templates;

- bespoke designs;

- illustrations;

- animations;

- branding;

- portal interfaces;

- software;

- systems;

- layouts;

- workflows;

- graphics;

- music produced by KindlyRSVP;

- hosted infrastructure;

- code;

- creative methodologies.

9.2 Client License

Clients are granted a limited, revocable, non-transferable, non-exclusive license to use the invitation or portal solely for their approved event.

Clients do not acquire ownership rights.

9.3 Restrictions

Clients may not:

- copy templates;

- recreate designs;

- reverse engineer the platform;

- extract code;

- resell invitations;

- distribute templates;

- commercially exploit KindlyRSVP systems;

- modify portal infrastructure independently.

9.4 Sharing Invitations

Clients may share invitations with guests provided that KindlyRSVP branding or attribution remains intact where applicable.

9.5 Custom Designs

Custom or bespoke designs remain the intellectual property of KindlyRSVP.

Clients acknowledge that KindlyRSVP may:

- reuse design concepts;

- adapt design systems;

- convert bespoke work into future templates;

- showcase work in portfolios, social media, advertising, or promotional materials.

10. PRIVACY POLICY

10.1 Information We Collect

We may collect:

- names;

- email addresses;

- phone numbers;

- addresses;

- RSVP responses;

- guest counts;

- dietary requirements;

- event details;

- uploaded photos/videos;

- registry information;

- browser/device data;

- cookies;

- analytics data;

- IP addresses.

10.2 How We Use Information

We use collected information to:

- process orders;

- deliver invitations;

- manage event portals;

- provide RSVP functionality;

- improve Services;

- communicate with users;

- analyse performance;

- provide support;

- maintain security.

10.3 Third-Party Infrastructure

We may use trusted third-party infrastructure, hosting, analytics, automation, cloud storage, communication, and payment processing providers located in:

- Australia;

- the United States;

- Europe; and

- other jurisdictions.

Data may be securely stored or processed through third-party cloud infrastructure providers.

10.4 Security

We implement commercially reasonable security measures to protect personal information.

However, no online platform can guarantee absolute security.

10.5 Guest Data

Clients are responsible for ensuring they have permission to provide guest information to KindlyRSVP.

Guests submitting RSVP information consent to the processing of their information in accordance with this Privacy Policy.

10.6 Data Retention

We may retain information:

- for operational purposes;

- legal compliance;

- backups;

- dispute resolution;

- platform maintenance;

- service improvement.

10.7 International Users

By using our Services, users consent to international transfer and processing of information where necessary.

11. COOKIE POLICY

11.1 Cookies & Tracking Technologies

- tracking technologies;

- performance monitoring tools;

- session identifiers;

12. ACCEPTABLE USE

Users may not:

- use the Services unlawfully;

- upload malicious code;

- distribute spam;

- misuse registry systems;

- attempt unauthorised access;

- interfere with platform functionality.

KindlyRSVP reserves the right to suspend or terminate Services for misuse.

13. PLATFORM AVAILABILITY

While we aim to maintain uninterrupted Services, KindlyRSVP does not guarantee:

- uninterrupted availability;

- delivery success;

- browser compatibility;

- third-party integrations;

- RSVP submission success;

- email deliverability;

- SMS deliverability;

- uptime.

We are not responsible for:

- spam filtering;

- internet outages;

- hosting outages;

- third-party failures;

- browser/device incompatibility;

- payment provider outages;

- lost data caused by external systems;

- incorrect client-entered information.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

- KindlyRSVP excludes liability for indirect, incidental, consequential, or special damages;

- KindlyRSVP’s total liability shall not exceed the amount paid for the specific Service giving rise to the claim.

KindlyRSVP is not responsible for:

- event outcomes;

- attendance levels;

- RSVP response rates;

- guest behaviour;

- financial losses;

- missed communications;

- scheduling issues;

- event disruptions.

15. FORCE MAJEURE

KindlyRSVP is not liable for delays or failures caused by events beyond reasonable control including:

- internet outages;

- cyber attacks;

- natural disasters;

- pandemics;

- government actions;

- infrastructure failures;

- third-party service interruptions.

16. TERMINATION

KindlyRSVP reserves the right to suspend or terminate access where:

- Terms are breached;

- misuse occurs;

- fraudulent activity is suspected;

- payment disputes arise.

Hosted invitations may be removed following serious breaches.

17. GOVERNING LAW

These Terms are governed by the laws of Victoria, Australia.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

18. CHANGES TO THESE TERMS

KindlyRSVP may update these Terms at any time.

Updated versions become effective upon publication.

Continued use of the Services constitutes acceptance of revised Terms.
